My Services and Case Studies

I negotiate and draft contracts for commercial transactions.  My main focus has been in the sale and procurement of high technology and also the consulting contracts that are a necessary part of such technology deals.  These negotiations culminate in a mutually acceptable Software License Agreement and a Master Services Agreement.  Such negotiations also include all supporting documentation such as:

  • Addendums
  • Amendments
  • Appendices
  • Statements of Work
  • Project Change Requests
  • Confidentiality Agreements
  • Outsourcing and Hosting Agreements
  • Bill of Sale
  • Release Agreements
  • Referral Agreements
  • Reseller Agreements
  • SaaS Agreements

I conduct my practice believing my Clients have several expectations:

  • Tell them what I intend to do
  • Do what I said I would do
  • Respond to their questions in a timely manner
  • Charge a reasonable fee
  • Treat them with respect

Before we decide to enter into the Attorney-Client Relationship, we will discuss your reasonable expectations and the possible consequences of our mutually contemplated actions. This understanding will then be written into an Engagement Letter to be reviewed, revised, and signed by you.

PAST PERFORMANCE IS NO GUARANTEE OF FUTURE RESULTS, however I have tried to describe some of my more challenging engagements in order to give you a better idea of the contract negotiation process and the roadblocks that might be encountered along the way ( Please use this link for the Case Studies).

Clients do not want to be left guessing what the status is of the deal.  Clients deserve to know the progress in the negotiation and estimates of the time and effort needed to close the deal.  Responsiveness is one of the hallmarks of a successful Attorney-Client Relationship.  Once we have established that relationship, I will respond to each inquiry either via phone, email, blackberry, cell phone, or in person.

As a Sole Practitioner and a sort of “Road Warrior” you do not have to pay for fancy furniture in the waiting room. If a face-to-face meeting is needed, I will come to you. My fee is negotiable, and depending on the work contemplated, a discounted payment schedule may be available.

It all boils down to respect. You deserve competent and professional representation. That is what I shall provide.
